General Terms of Use (GTU) – FlexiZdrowie

Article 1: Scope, Acceptance and Enforceability

The purpose of these General Terms of Use (hereinafter referred to as “GTU”) is exclusively to define the terms and conditions for accessing, browsing and using the FlexiZdrowie online platform (hereinafter referred to as the “Site”) by any person (hereinafter referred to as “the User”). Access to the Site is formally conditional upon the express, unreserved and unrestricted acceptance of these GTU. FlexiZdrowie reserves the exclusive right to unilaterally modify the content of these GTU at any time to adapt to legal or technical developments.

Article 2: Medical Disclaimer (Major Disclaimers)

2.1. Strictly Informational Nature:

FlexiZdrowie provides textual, visual, and analytical content on well-being, joint health, nutrition, and lifestyle. All such information is published for purely educational and indicative purposes.

2.2. Exclusion of Medical Practice and Diagnosis:

FlexiZdrowie is neither a healthcare facility nor a medical professional. The content published on the Site does not in any way constitute medical advice, consultation, diagnosis, or therapeutic prescription. It cannot under any circumstances replace a proper consultation with a doctor, pharmacist, or qualified and licensed healthcare professional.

2.3. User Autonomy and Decision-Making:

Any reference to food supplements, physical exercises, or well-being protocols must be subject to prior validation by a healthcare professional, particularly if the User is undergoing medical treatment or suffers from a chronic pathology. FlexiZdrowie expressly disclaims all responsibility in the event of damages, side effects, drug interactions, or complications of any nature resulting from the direct or indirect application of the information present on the Site.

Article 3: Intellectual Property and Restricted Access License

FlexiZdrowie is the exclusive owner of the intellectual property rights to all elements comprising the Site (technical architecture, texts, algorithmic models, databases, logos, graphic charters). FlexiZdrowie grants the User a personal, limited, non-exclusive, non-transferable, and revocable license to access the Site.

The following are formally and strictly prohibited, under penalty of civil and criminal prosecution:

  • Mass data extraction via automated tools such as “scraping”, “spidering” or “crawling”.
  • Reproduction, decompilation or reverse engineering of FlexiZdrowie's algorithmic models.
  • Any commercial exploitation or redistribution of content without prior explicit written agreement.

Article 4: Force Majeure and Business Continuity

FlexiZdrowie employs its best efforts, subject to an obligation of means, to ensure the Site's availability 24 hours a day, 7 days a week. However, FlexiZdrowie's liability cannot under any circumstances be sought or incurred in the event of a force majeure event as defined by jurisprudence and Article 1218 of the French Civil Code, including but not limited to:

  • Large-scale cyberattacks (DDoS, ransomware, SQL injections).
  • Critical and global failures of telecommunications networks or internet service providers.
  • Major disasters (fires, floods, earthquakes) affecting hosting data centers.
  • Government decisions or acts of public authority imposing technical restrictions.

Article 5: Indemnification Clause

The User expressly undertakes to indemnify, defend, protect and hold harmless FlexiZdrowie, as well as its officers, directors, employees, agents and partners, against any claim, lawsuit, demand, loss, liability or expense (including reasonable attorney's fees and costs) resulting directly or indirectly from:

  • The User's clear breach of these GTU.
  • The unlawful, fraudulent or inappropriate use of the Site.
  • The User's infringement of a third party's intellectual property rights via the Site.

Article 6: Severability and Non-Waiver

Should any clause of these GTU be declared null, illegal or unenforceable by a final court decision, the other provisions shall remain in full force and effect. The fact that FlexiZdrowie does not demand the strict application of a provision of these GTU at a given time shall not be interpreted as a definitive waiver of its right to invoke it later.

Article 7: Applicable Law and Exclusive Jurisdiction

These conditions, as well as any dispute or claim arising from their execution, are exclusively governed by French Law. In the event of a persistent dispute between FlexiZdrowie and the User that cannot be resolved amicably within sixty (60) days, exclusive jurisdiction is expressly attributed to the courts within the jurisdiction of the Paris Court of Appeal, notwithstanding multiple defendants or third-party claims.

3. Protection and Copyright

Any reproduction, distribution, modification, or extraction not expressly authorized in writing by the management of FlexiZdrowie constitutes characterized infringement and will be subject to implacable criminal and civil proceedings before the competent courts.
